Harshbarger Governance Practice
The accounting, investing and leadership scandals that have rocked corporate America during the past two years have significantly undermined investor, consumer, customer, shareholder and stakeholder confidence in brand-name enterprises in virtually every industry segment. Business-as-usual, as it was once known, has changed.
Many organizations are still reeling from and working to comply with the Sarbanes-Oxley Act of 2002. At the same time, state and federal governmental agencies continually put forth new regulations and policies affecting the requirements of businesses today.
The Harshbarger Governance Practice was established to help organizations manage this fundamental shift in corporate culture and balance integrity and independence:
- Strong governance practices drive competitive advantage. They are a key ingredient to achieving a positive corporate reputation and better performance in the marketplace.
- Investors hold the stock of well-governed companies longer and believe well-governed companies will perform better over the long term.
- Investors are willing to pay a higher premium for well-governed companies because good governance practices reduce the perception of risk that a company could face.
Our multidisciplinary team is led by Scott Harshbarger, who has a long record as Attorney General of Massachusetts and as national President and CEO of Common Cause, monitoring corporate conduct and prosecuting white collar crime. The practice draws on years of experience in governmental, municipal, and regulatory affairs; corporate and business transactions; and labor and employment law. We provide independent governance analysis for businesses, non-profit institutions and other enterprises.
The Harshbarger Governance Practice provides counsel and strategic legal advice to CEOs, general counsel, trustees, public officials, and other boards of governance on such matters as fiduciary responsibilities, governmental inquiries, fraud investigations, and crisis management. It also provides legal advice on governance issues, design governance programs, conduct training and provide assessments for business, non-profit institutions, governmental entities, and other enterprises. The Practice provides clients with timely, proactive information to ensure that clients maximize their internal resources, fulfill their legal obligations and are well-prepared for future changes.
